Spreed – Terms of Service & Viral Guarantee

1. Agreement OverviewThese Terms of Service (“Terms”) govern the access to and use of the Spreed platform, including all software, artificial intelligence features, content generation tools, onboarding processes, guarantees, and related services (“Services”).

By purchasing, accessing, or using Spreed, you (“Client,” “User,” or “You”) agree to be legally bound by these Terms.This is a business-to-business (B2B) agreement. Spreed does not offer consumer services.

2. Nature of the Service
Spreed is an AI-powered platform designed to analyze viral content patterns, generate structured video scripts, and produce short-form videos optimized for organic reach.Spreed:Does not sell views, followers, likes, or paid trafficDoes not run ads on behalf of clientsDoes not guarantee specific revenue outcomesAll results are organic, dependent on correct usage and platform compliance.

3. Viral Guarantee Overview
Spreed offers a conditional Viral Guarantee.Guarantee Statement:If the Client uses Spreed correctly for 90 consecutive days, publishes the required minimum content, and follows all rules outlined in these Terms, but fails to reach the minimum guaranteed organic views, the Client is eligible for a 100% refund of the initial implementation investment.

4. Eligibility Requirements for the Viral GuaranteeTo qualify, all conditions below must be met.

4.1 Minimum Content Requirement
The Client must publish at least 60 videos within 90 daysVideos must be generated through the Spreed platformVideos must be published on the agreed primary platform (Instagram, TikTok, or YouTube Shorts)Failure to meet this requirement automatically voids the guarantee.

4.2 Posting Consistency
Videos must be posted consistently across the 90-day periodExcessive pauses or bulk-posting in short bursts may invalidate eligibility

4.3 Strict Organic Policy (Expanded)
To preserve algorithmic integrity and ensure fair evaluation of organic performance, the Client must not engage in any actions that artificially manipulate reach, engagement, or account behavior.The following actions immediately void the Viral Guarantee:

🚫 Artificial Growth & Engagement
Buying followers, likes, comments, saves, or views
Using engagement pods, comment groups, or “DM for engagement” schemesUsing bots, automation tools, or third-party growth software
Participating in giveaways designed solely to inflate followers

🚫 Paid Traffic & Promotion
Running paid ads to the same profile during the guarantee period
Using the “Boost” or “Promote” button on any Spreed-generated video
Sending paid traffic to posts, profile, or bio linksMixing organic strategy with traffic campaigns during the evaluation window

🚫 Content & Posting Behavior That Breaks the Algorithm
Deleting Spreed-generated videos after posting
Archiving posts during the 90-day evaluation window
Frequently editing captions after publication
Reposting the same video multiple times in short intervalsBulk-posting many videos in a single day instead of consistent distribution

🚫 Account Instability & Structural Changes
Changing the account’s niche, positioning, or target audience mid-cycle
Changing username, handle, or account category repeatedly
Switching from personal to business account (or vice versa) during the cycle
Posting unrelated content that conflicts with the niche strategy

🚫 Platform Signals That Reduce Trust
Posting copyrighted content without rights
Using banned hashtags or spam-like captions
Reusing watermarked content from other platforms
Excessive use of trending sounds unrelated to the niche

🚫 External Actions That Distort Performance
Driving external traffic from WhatsApp groups, Telegram, or email blasts
Asking friends, employees, or groups to artificially engage with posts
Sharing posts in private groups to inflate early engagement

⚠️ Important Notice

Any of the actions above distort organic signals, confuse platform algorithms, and prevent accurate measurement of Spreed’s performance.If such actions are detected:The Viral Guarantee is automatically voided

Spreed retains the right to deny refund requestsContinued misuse may result in account suspension from the platform

4.4 Account Integrity
The Client must:Use a real, authentic accountMaintain public visibilityAvoid username changes, niche pivots, or rebrands during the 90-day periodNot delete or archive Spreed-generated videos during the evaluation window

4.5 Platform & Policy Compliance
The Client is responsible for complying with:Instagram, TikTok, and YouTube community guidelines Local advertising and content laws Platform-specific content rules Account restrictions, bans, or shadow-limits caused by policy violations void eligibility.

5. Definition of “Views” for the Guarantee
Only organic views are countedViews must come from the primary posting platformCross-posting views may be considered at Spreed’s discretionInternal analytics and platform-native insights are used as the source of truth

6. Refund ProcessIf all conditions are met and the minimum guaranteed views are not reached:The Client must submit a written request to bruno@spreed.aiSpreed will audit:Posting volumePosting datesOrganic compliancePlatform analyticsIf approved, a 100% refund of the initial implementation fee will be issuedMonthly recurring fees are non-refundable.

7. AI Features & Limitations
The Client owns all original inputsAI-generated outputs are probabilistic and non-exclusiveSpreed does not guarantee identical results across usersAI outputs should not be treated as legal, medical, or financial advice

8. Acceptable Use
You may not:Reverse engineer the platformResell Spreed outputs as a competing serviceShare access credentialsUse Spreed for illegal, deceptive, or harmful contentViolations may result in immediate termination without refund.

9. Intellectual Property
All Spreed software, frameworks, models, and methodologies remain the exclusive property of Spreed Inc.Clients receive a limited, non-transferable license for internal business use only.

10. No Chargebacks — Including Clone Quality
You agree that voice or facial clone quality, realism, or subjective dissatisfaction shall not be used as grounds for refunds, disputes, or chargebacks.This includes claims related to:“The clone doesn’t look/sound exactly like me”“The AI voice sounds artificial”“Facial movements are slightly off”“I expected a perfect digital twin”Such characteristics are explicitly disclosed prior to purchase and are a known limitation of AI-based generation tools.Proper Resolution PathIf you experience a technical failure (not subjective dissatisfaction) or believe your case qualifies under a contractual guarantee, you must submit a written request for evaluation via:📩 bruno@spreed.ai

All requests are reviewed individually based on: Platform usage data.
Compliance with posting and guarantee requirementsInput quality and system logsApplicable contractual terms.
Final Enforcement NoticeInitiating a chargeback due to: Clone quality dissatisfactionAI limitationsSubjective expectationsThird-party infrastructure behaviorconstitutes a material breach of this Agreement, immediately voids any guarantees, and may result in:Access terminationAdministrative and recovery feesReporting to payment processors as a contract violation.

Enforcement & Breach NoticeAny chargeback initiated due to:
AI voice or facial clone quality
Third-party AI infrastructure limitationsSubjective dissatisfaction or expectation mismatchwill be treated as a material breach of contract, resulting in:Immediate termination of access
Forfeiture of any guarantees
Administrative and recovery fees
Reporting to payment processors as a contractual violation

By purchasing and using Spreed, you confirm that you understand Spreed relies on
ElevenLabs and HeyGen as infrastructure providers, that AI cloning has known limitations, and that all disputes must follow Spreed’s internal review process, not chargebacks.

11. Disclaimers
All services are provided “AS IS” and “AS AVAILABLE.”Spreed makes no guarantees of:RevenueFollowersSpecific viral outcomes beyond the stated guarantee conditions12. Limitation of LiabilityTo the maximum extent permitted by law, Spreed’s total liability shall not exceed the amount paid by the Client in the preceding

12 months.Spreed shall not be liable for indirect, incidental, or consequential damages.

13. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

14. Arbitration
All disputes shall be resolved by binding arbitration, on an individual basis, with no class actions permitted.
